The following agreement defines the terms whereby Neuralog will supply THE CLIENT with licensed software, as specified in the EVALUATION REQUEST FORM, for temporary use for the purpose of evaluation.
Grant of Temporary License
THE CLIENT will receive the licensed software, specified in EVALUATION REQUEST FORM, for use in its facilities, by THE CLIENT personnel for a period not to exceed the Evaluation Period specified in EVALUATION REQUEST FORM. THE CLIENT agrees to return all physical material (printed and electronic media, packaging, cabling, etc.) to Neuralog, Inc. within 5 days of the expiration of the Evaluation Period. THE CLIENT agrees not to make additional copies of licensed software. THE CLIENT agrees not to install the licensed software on any computer or system other than those specified below, in EVALUATION REQUEST FORM. THE CLIENT understands that the licensed software is provided “As Is”, without warranty of any kind and that neither Neuralog, Inc. nor anyone else involved in creating, producing, distributing or marketing the licensed software will be liable for any direct, indirect, consequential or incidental damage relating to the licensed software or arising from the use thereof.
Objectives of Evaluation
THE CLIENT requires that the licensed software meet the following objectives during the evaluation: NeuraMap: Digitize scanned maps into vector data that can be input into GeoGraphix, ZMap Plus, AutoCAD, ARC/View, IESX, Finder and/or CPS3. NeuraLog: Digitize scanned well logs into vector data that can be output in the current LAS (Log ASCII Standard) format. NeuraSection: Build a Geological Interpretation by creating show logs, maps, cross-sections, and montages of presentation quality using scanned raster images and / or LAS files. NeuraView: Display, mark-up and print tiff and LAS files.
Responsibilities
Neuralog, Inc. will provide sufficient technical assistance, via telephone, fax and email, to ensure that THE CLIENT personnel are able to effectively use the licensed software efficiently. THE CLIENT agrees to devote sufficient personnel, equipment and facilities to meeting the objectives stated herein within the specified time period. THE CLIENT agrees to make the relevant personnel available for discussion with Neuralog, Inc. on a timely basis, for the purpose of determining the progress toward the stated objectives and identifying and correcting problems impeding such progress. Upon concluding the Evaluation, Neuralog, Inc. and THE CLIENT personel will briefly discuss which objectives were met according to THE CLIENT. The above document and the attached schedules constitute the complete evaluation agreement between Neuralog, Inc. and THE CLIENT.
